
CORPORATE POWER PURCHASE AGREEMENTS
With a proven track record in the development, financing, sale and acquisition of renewable energy projects, Venturi assists large energy consumers to secure green electricity.
For selected large consumers, Venturi leads the search and secure process to purchase power from operational or in development renewable energy projects, ensuring their green energy needs are met effectively.
Following a request for proposals, Venturi will support our key clients in the definition and negotiation of Power Purchase Agreements (PPAs) or Corporate PPAs (CPPAs).
Venturi is also ideally positioned to also the Projects for which CPPAs are assess the risks associated with power generation projects under development, and thus to negotiate balanced terms of CPPAs.
Review and assessment of offers and preselection of preferred bidders
Assessment of bids will include inter alia: duration of contract, one or multiple projects, solar or wind technologies, pay-as-produced, pay-as-forecast, baseload for physical supply, virtual supply, kWh pricing strategy (fixed, fixed indexed, cap and floor, zonal cost risks), performance guarantees from the producer, requirements on Client credit risk for PPA security, rights to GOOs, delay risk for projects in development and conditions precedent for effectiveness of CPPA, compensation and caps for delays/shutdowns/under-production, compliance with Client Supplier Codes of Conduct, extension optionality.
Identification and selection of balancing agents setting out balancing arrangements and responsibilities
Analysis, selection and support in the negotiation and completion of CPPA contracts
Analysis, selection and support in the negotiation and completion of agreements with balancing agents and the Client supplier
Summary technical and development due diligence of selected generators
Review of economics of CPPA structures.
Focus will be to identify key commercial risks to the buyer, including for example delay to Commercial Operation Date and reputational risks.
